1.

The name of the Club is Nausori Club.

2.

The Club is established for the promotion of social intercourse among gentlemen of the various races in Fiji.

3.

The Club may in General Meeting limit the membership to any specified number either for a fixed period or until a resolution is passed by a General Meeting removing or altering such limitation.

4.

Members shall be Ordinary Members, Country Members, Supernumerary Members and Life Members.

5.

Ordinary Members shall be gentlemen residing in or near Nausori. Country Members shall be gentlemen resident in Fiji, outside a radius of 30 kilometres from the Nausori Post Office except those persons resident in Suva shall be deemed to be Country Members. Supernumerary Members shall be gentlemen residing outside the country or temporarily absent from it and whose names are for the time being upon the Supernumerary List.

6.

No gentlemen under 21 years of age shall be eligible for election as a member.

7.

A candidate for membership shall not be eligible for election unless and until he/she shall have resided in the country for the period of three years immediately preceding the date of his/her nomination. (AGM / 1998).

8.

Every candidate for admission must be duly proposed by one member and seconded by another member. The candidate’s name, occupation and address, together with the names of his/her proposed and seconder must be entered in the candidate’s Book. The Committee shall thereupon by secret ballot decide whether the candidate’s particulars shall be posted on the Notice Board of the Club, and unless three black balls are recorded shall forthwith post the particulars on such Board.

9.

No application for admission shall be entertained unless such application is accompanied by the entrance fee provided however such entrance fee shall be refunded should the application be not accepted.

9.1

Companies operating their businesses around the perimeter of Nausori town may apply to become a corporate member of Nausori Club and such Membership shall be subject to:

1. (a)Membership subscription be $55.00 plus vat per annum or such other sum as approved by the Annual General Meeting.
2. (b)Co-operate membership shall be issued with two entry passes for the Club. Each pass allowing person’s entry. Pass could be issued by directors or
3. (c)Employees of the company and not transferable to persons not related to the said company in any way.
4. (d)Co-operate members shall have NO VOTING RIGHTS as individual members nor they can apply for office in the executive committee.
5. (e)All other rules and regulation would be applicable to corporate members as with ordinary members. (AGM / 1998).

10.

No applicant shall enjoy privileges of the Club extended to him/her until it is processed and approved at the first ballot.

11.

When Candidates name has been posted for the period of one month according with the Rule, at its next regular meeting following the expiration of the said period, the Committee shall decide by secret ballot whether or not the candidate shall be elected. Three blackballs shall exclude.

12.

Any member who objects to any applicant becoming a member should on the date of the ballot, appear before the committee, or state in writing his/her reasons for objecting. In the latter case the letter must be in the hands of the Secretary at least three days before the meeting.

13.

Upon the election of a member the Secretary shall notify him, and request him/her to pay the subscription within 14 days after his/her election, except in the case of a country member in which case the period of limitation shall be 28 days. Should the subscription be not paid within the said period such election shall be null and void.

14.

Any gentleman, who, having been a member, has voluntarily retired from the club, may be readmitted as a member by a vote of his/her Committee taken in accordance with the provision of the rules and such re-admission shall pay an entrance fee such as together with the entrance fee such paid by him/her on his/her previous election, will make up the entrance fee payable at the time of his/her re-admission.

15.

Any member may be elected as a life member at any annual general meeting of the Club and who has satisfactory record with the club and of exceptional service to the club and who has been a member for a minimum period of 10 years PROVIDED the nomination for such life membership is received by the Secretary in writing at least 14 clear days before the date of such meeting and PROVIDED also that three quarters of members present vote in support of such nomination or election as a life member. Such election shall be conducted by way of secret ballot. The life member shall not be liable to any annual or other subscription.

16.

The subscription shall be $20.00 plus Vat per annum and the Entrance fee of $60.00 plus vat for Ordinary Members and for Country Members. The Entrance Fees shall be the same but the subscription shall be $8.00. Any members’ subscription not paid within two calendar months after the same shall cease to be a member at the Committee’s discretion and without prejudice to the Committee’s other powers arising upon such default, be increased by a fine of not more than $5.00 (AGM / 2004).

17.

All subscriptions shall be payable yearly in advance or before 31st December. A new member elected before 1st July in any year shall pay full subscription while elected after 1st July shall pay half of the subscription.

18.

A country member changing his/her residence so as to come within the limits prescribed by rule before December 31st in any year shall make up his/her annual subscription for that year.

19.

If any member fails to pay the annual Subscription within two calendar months after the same shall become due, as provided in Rule 16, the Secretary shall report accordingly to the Committee, who may at any time thereafter, cause the name of such member to be posted in the Club House as being arrears with his/her Subscription and may also at any time after such date, whether or not name of such member has been posted, cause the name of such member to be erased from the list of membership, but in the event of sufficient explanation being made to the Committee they shall have power, restore his/her name to the list of members upon payment of all arrears including fines if any.

20.

Any Supernumerary member returning to Fiji shall be liable to complete his/her annual subscription under Rule 16, but should he/she so return before half of the year he/she shall be liable to complete or half of such subscription. No such supernumerary member shall be entitled to the privileges of the Club until his/her liabilities under this rule shall have been discharged, and any such returning Supernumerary Member failing to discharge his/her said liabilities and any other indebtedness to the Club within three months after his/her return shall cease to be a member of the Club.

21.

No cheques shall be accepted from any Supernumerary Member at any time by the Club in form of any payment made to the club.

22.

Any member intending to resign from the Club shall do so in writing to the Secretary. No such resignation as aforesaid shall relieve any member from the payment of any subscription or other money due or payable by him/her to the Club at the time of such resignation.

23.

Gentlemen not members of the Club may become honorary member in the discretion of the Committee and upon such term and condition as the Committee deem fit.

24.

The Patron of the club shall be entitled to invite guest to social functions.

25.

The proposer of an Honorary Member shall be responsible for the Honorary Member’s conduct in the Club and be liable for all debts due to him/her to the Club.

26.

Any Honorary Member shall not be permitted to vote at any meeting of the Members nor shall he/she have any right, title or interest in any of the property of the Club, or to bring into the Club House or entertain therein any strangers.

27.

No member shall have a right to vote at any meeting should his/her subscription be in arrears.

28.

Any member intending to leave the country may, on application to Secretary (his/her subscription for the current year being paid) be placed on the list of Supernumerary Members exempted from the usual subscription until his/her return, when he/she will be liable as prescribed by Rule No 17 for the whole or half of the then current year’s subscription.

29.

Members may invite as guest, for one day only, gentlemen residing outside a radius of 30 kilometres from the Nausori Post office except that guests may be invited from the City of Suva and shall enter their names in the Visitors Book. A guest may not be invited for more then seven days in any one quarter without the prior consent of the Committee. Members may not invite as a guest a person who, having been a member under Rule (19) or a person who has ceased to be a member as the result of action taken under Rule (33) or any person who, having been nominated for membership has been blackballed. A Member is responsible for the conduct of his/her guest and shall not leave the Club while his/her guest is on the premises. Members may invite as guest both male and female visitors who are bona fide travellers and who have not been resident in the country and who will be departing from the country.

30.

Invitations to guest for Social Function shall be in the sole discretion of the Committee.

31.

As every member, on payment of his/her Subscription become entitled to the benefits and privileges of the Club, such payment shall be considered as a declaration of his/her submission to the Rules and By-Laws of the Club and to the penalties imposed thereunder.

32.

All complaints shall be in writing and signed by the member complaining and shall be submitted to the Secretary.

33.

Members charged shall be informed in writing of the allegations and shall be asked to appear before the Disciplinary or Management Committee to answer the charges. Charges shall be heard in absence, if no sufficient reasons are forwarded at least three days before the date of said meeting. In case of sufficient reasons, the member may be asked to re-appear, and if he/she fails to attend, then his/her case shall be dealt with in his/her absence.

(i)

If any member shall wilfully infringe the Rules or By-Laws of the Club or in any way conduct himself/herself either inside or outside the Club House in a manner unbecoming a member, he/she shall be liable to expulsion or suspension. Any charges or complaint in that behalf shall in the first instance be submitted in writing to the Committee by a member, or if the matter of such charges or complaint shall come under the notice of the Committee in any other way, by the Secretary.

(ii)

The President, upon it being brought to his notice by written charges or complaint otherwise that any member has conducted himself/herself in a manner which may render him/her liable to expulsion or suspension may if he and not less than two other office bearers at a meeting held between them unanimously decide

that the circumstances of the case as then known to them justify such member’s suspension, order that such member be suspended until the Committee shall have investigated that matter in accordance with this Rule. The Secretary shall then forthwith in writing notify the member concerned of his/her suspension and shall report the matter to the next meeting of the Committee at which the Committee may confirm, vary or cancel any such order for a member’s suspension.

(iii)

The Committee shall consider the Charges or complaint and may if it think fit make such inquires in respect thereto as it shall think proper.

(iv)

If after considering the charge or complaint the Committee considers that there should be further investigation thereof the Committee shall forward to the member accused a copy of the charge or complaint made against him/her and shall call upon to answer such charge either in person before the Committee on a specified date not later than 21 days from the date of his/her receipt of the notice or in writing to the Committee within the same period.

(v)

The Committee may if it thinks fit at any time after the receipt of the complaint or charge suspend the member accused pending the Committee’s investigation of the complaint or charge under this section and deny him/her the privilege and use of the Club premises during the period of suspension.

(vi)

The Committee shall after an investigation of the charge or complaint decide on the action to be taken.

(vii)

The Committee after the investigation of the charge may if it thinks fit deny him/her the privileges and use of the club premises during the period of suspension.

(viii)

If the Committee decides that its investigation shows the member to be unworthy to continue as a member shall be called upon to resign his/her membership within 7 days after the notification to him/her of such decision. In the event of such member refusing or failing within this period to resign he/she shall forthwith cease to be a member and his/her name shall be erased from the list of members of the Club. However, in the event of a Life Member being involved, two Trustees shall be present in the Committee Meeting which shall decide his/her expulsion.

(ix)

Members who are expelled or asked to resign shall not have the right to apply to be re-elected to the Club as a member for at least 5 years and those blackballed, shall wait for complete 12 months before they could re-apply.

34.

The office-bearers shall be a President, three Vice-Presidents, two Trustees, one or more Secretaries, in accordance with Rule 48 and a Committee such committee to consist of the President, three Vice-Presidents, and nine members elected by the members of the club.

35.

The President, Vice Presidents and nine Committee Members shall be elected annually. The Trustees shall be elected by members, in General or Special General Meeting, and shall continue in office until removed by death, resignation or otherwise.

35.

Members seeking election into Management Committee, should meet the following qualification prior to nomination (AGM / 1998):

(a) Committee Member

A person should have been a continuous member of the club for at least three years during which period he/she should not have been charged for breach of discipline. If the member had been disciplined the period shall be extended by further one year.

(b) Vice-President

The member should have been a bona fide member for a continuous of four years or served at least one term as a Committee Member of the Club.

(c) President

To be elected as the President of the club, the member shall have served at least one term as a Vice-President of the Club.

36.

Members of the committee shall retire annually and their places shall be filled at the Annual General Meeting. All such retiring members shall be eligible for re-election. All retiring office bearers and any retiring auditor shall be eligible for re-election.

37.

At least 14 days prior to the election of any office bearers or auditor, the name of the candidate, together with the name of at least two proposers, shall propose him/her shall be posted in the Club House. The candidate shall signify his/her assent to such nomination by affixing his/her signature thereto.

38.

If at the Annual General Meeting any vacancy in the office bearers or as to the auditors is not filled by the election or any such vacancy shall occur after the Annual General Meeting the Committee shall fill such vacancy. Any member elected to fill a vacancy shall remain in office only so long as the vacating member would have retained the same if no vacancy had occurred. If any office bearer is temporarily away from the country or from Nausori during his/her year of office, the committee may appoint a member who contested in the Annual general Meeting, and being the one, who polled the highest vote in the category of where the vacancy occurs.

39.

Office-bearer may be removed from their office at any general meeting of the club of which 14 days notice shall have been given by the committee. Procedures for such meeting and member voting for removal shall be governed by the provision of Rule 33 as if the question were the expulsion of a member.

40.

At all election for Vice-President and Committee Members all members shall vote for 3 Vice-President and 9 Committee Members respectively and any person voting more or less than the numbers as above specified shall render such voting as invalid.

41.

The committee shall have full power to direct and manage all the affairs and business of the Club and from time to time as it thinks fit to make, alter or repeal by-law for the good government thereof provided that no by-law shall be inconsistent with any of the rules.

42.

The committee shall have power to borrow money in the name of the Trustee of the Club on behalf of the Club, subject to the approval of the Trustee and the members in the Special General Meeting held in pursuance of these rules.

43.

The Committee shall meet monthly on a stated day for the transaction of ordinary business and at such other time as may be considered advisable. Seven members shall form a quorum.

44.

The Committee at every ordinary meeting thereof shall have the power to transact all business within its province but it shall not be competent for such committee at any Special Meeting thereof to transact any business except such as shall be specified in written notice calling the same or as such shall in the opinion of at least two-third of the members present directly arise thereout.

45.

Any member of the Committee, not being an ex-official member, failing to attend three consecutive meeting shall cease to be a member thereof, unless leave or absence be granted to him at the same or at any subsequent meeting of the committee.

46.

The property of the club, subject to the liabilities thereof, shall be vested in the Trustees upon trust for the members for the time being.

47.

No member shall by reason of his/her being such have any transmissible or assignable interest by operation of law or otherwise in property of the Club. On any member ceasing by death, resignation or otherwise to be such, all his/her interest shall survive, accrue and belong to the other member for the time being and be vested in the Trustees.

48.

The Committee shall appoint one or more secretaries subject to terms and conditions stated in his/her letter of appointment. It shall be the duty of the Secretary or Secretaries in addition to his/her or their other duties:

1. a.To keep full and accurate minutes in the books provided for that purpose of the proceeding at all meeting of the Club and the Committee.
2. b.To enter in books provided for that purpose the names of the ordinary members, Country members, Life members, supernumerary members and honorary members with their respective professions or occupations and address.
3. c.To receive all entrance fees, subscription and other moneys on account of trustees to issue receipts thereof.
4. d.To pay daily into the bank at which the Club transacts its business all money received.
5. e.To keep an account of all money received and disbursed and submit the same to the Committee from to time as directed.

49.

All payment shall be made under order of the committee by cheque signed by the President or Vice President and counter signed by the Secretary.

50.

The accounts of the Club shall be audited by an auditor not being a member of the Committee who shall be elected at annual general meetings.

51.

The auditor shall have power to call for the production of all books, papers, account and documents relating to the affairs of the club. The annual balance sheet and statement of accounts shall be audited by him/her and if correct certified in writing under his/her hand before they are submitted to the annual meeting.

52.

An annual general meeting of the members shall be held at the Club House in the month of May or as near every year at such time as the Committee from time to time appoint for the purpose following:

1. a.Receiving from the Committee a report as to the concerns of the Club for the past year and the balance sheet and statement of the receipts and expenditure made up to the last day of March.
2. b.Electing the President, three Vice-President and nine members of the Committee.
3. c.Electing one Auditor.
4. d.Transacting any business which may be introduced by any member with the permission of the Chairman of the Meeting whose decision shall be final.

53.

Notice of the General Meeting shall be advertise in a local English daily paper and posted in the club house for 21 days immediately preceding the date of the meeting.

54.

The annual report, balance sheet and statement of account shall, at least seven days prior to the date of the meeting, be mailed to the members together with notification of the names of the candidates for the office of Presidents, Vice Presidents and for the vacancies of the Committee and for the position of Auditor; also as to any other business to be dealt with by the direction of the Committee, such notification shall contemporaneously be posted in the Club House.

55.

Irregularities in connection with the notice required by this rule shall not invalidate any of the proceeding of the annual meeting or any election or other business carried out at the annual meeting.

56.

The Committee may at any time call a Special General Meeting of the Club on giving ten days notice which shall specify the object of the meeting, shall be posted in the Club House and mailed to each member. At such meeting no business shall be transacted other than those mentioned in the notice. The

committee shall, also, in like manner call a Special General Meeting upon receiving the written requisition of not less than 20 percent of the effective members of the Club.

57.

Subject to the provisions of Rules 52 and 53 at all meeting of the Club 15 percent of the effective Nausori Members shall form a quorum.

58.

In every case of meeting of the Club, or of the Committee, if after the lapse of half an hour, a quorum shall not be present, it shall there upon stand adjourned until the management fixes another date for the same meeting

59.

Any meeting of the club, provided a quorum be present, may be adjourned from time to time, for any period not exceeding one calendar month at any one time the Committee may from time to time, adjourn as they think fit.

60.

The President, or in his absence, a vice president, shall be chairman at all meeting of the club and of the Committee respectively, but if at any such meeting none of them be present the members of the Committee, as the case may be, shall elect a chairman from among those present. The chairman once taking the chair shall retain that position during the meeting, not withstanding that the President or vice President may afterwards attend.

61.

The election of officers and the auditor, shall be by secret ballot, and in cases of equality the Chairman shall record a casting vote.

62.

A member not present at the meeting shall not be entitled to vote in writing or by proxy.

63.

All resolutions passed at any meeting of the Club shall be conclusive and binding on all members thereof, whether present at such meeting or not, provided that such meeting shall have been held in substantial conformity with the rules.

64.

All meeting whether committee or of members, to transact any business of the Club, shall be held at the Club house unless the circumstances such as make this impracticable, when the place of meeting shall be determined by the President and Vice President or by any three members of the committee.

65.

Every member shall pay all expense he/she may incur to the Club at such time and in such manner as may be, from time to time decided upon by the Committee, and in case of any default for a period of one month the committee shall have the power to post the name of such defaulter in the Club House, for such time as it think fit, or to erase, his/her name from the list of members, or to take such course, and upon such erasure he/she shall cease to be a member of the Club.

66.

The name of any member ceasing to be such shall be reported by the secretary to the Committee which may thereupon cause the same to be erased from the list of members.

67.

Any member, who is of the nationality of the country at war with British shall cease to be a member of the Club, and his/her name shall be struck off the roll of members. The decision of the Committee as to the nationality of the member, for the purpose of this rule, shall be conclusive.

68.

In the case of a member’s address being changed, the member shall notify his/her new address in writing to the Secretary. Notice of any member who fails to comply with this rule shall be considered as duly delivered, if sent by post, addressed to him at last recorded address.

69.

No provisions, liquors or wine shall be sent out of the club House to order of any member.

70.

Liquor as defined by the liquor ordinance shall be sold to members in person at the Club’s premises.

71.

No wine or liquor shall be brought into Club House for consumption other than those sanctioned by the committee.

72.

No member shall upon any pretence whatever, damage, deface, or EXCEPT as provided by the-law, take or allow to be taken away from the Club any books, magazine, newspaper or other articles, the property of or in the care of the Club. The Committee may, from time to time, make by laws for the issue of books and magazine to members. The committee may time to time lend other property of the Club at its discretion.

73.

The club shall be opened from Monday to Friday between the hours of 10.00am to 10.30pm and on Saturdays between the hours of 10.00am to 10.30pm and on Sunday and Public Holidays the club shall be opened between the hours of 10.00am to 10.00 pm.

74.

No liquor shall be supplied in the Club for consumption off the premises, except to a member personally on the premises.

75.

Any member breaking or injuring any articles belonging to or in the use of the Club shall pay to the secretary the necessary cost of replacing such article, the price to be fixed by the Committee. This provision shall not relieve a member from Disciplinary Action, if need may be to do so.

76.

No member shall bring a dog into the Club house.

77.

A member shall be decently dressed while in the club’s premises. Guest and visitors equally have to comply with the same.

78.

No member shall enter or allow visitors to enter the Club’s premises without footwear.

79.

All servants of the Club other than the Auditor shall be appointed by the Committee.

80.

The rules and by-laws shall be open to the inspection of members and honorary members, and a copy supplied upon such terms as the Committee may from time to time, direct.

81.

No rules shall be repealed or altered, nor any new rules made WITHOUT THE SANCTION of majority of two-thirds of the members constituting any Annual or Special General Meeting.

82.

The decision of the committee on the construction or interpretation of rule or by laws shall be conclusive and binding on all members of the Club, until set-aside or varied at a specially convened general meeting of the Club this to be held within thirty days from the date of such decision.

83.

On application being made to the committee in writing by 25% of effective members signifying their desire that the Club be dissolved, a Special General Meeting shall be called to consider the question and notice of such Meeting shall be posted in a prominent position in the Club Room for three months immediately preceding the day fixed for the meeting. A copy of such notice shall also be sent to every member of the club, within the ten days of the time the notice appears, at the meeting votes by post shall be received. The votes of at least two-third of the effective members shall be necessary to carry the proposition for the dissolution.

84.

These Rules were adopted as the rules of NAUSORI CLUB at various Annual General Meetings of Members and all amendments were incorporated as at 8th July 2009, provided, however, that anything lawfully done under the former Rules is hereby validated.
